These Terms of Service ("Terms") constitute a legally binding agreement between you and Predio LLC ("Predio," "we," "us," or "our"), governing your access to and use of the Predio platform, website at getpredio.com, and all related services (collectively, the "Services").
By creating an account, clicking "I agree," or otherwise accessing or using the Services, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind such entity to these Terms.
Predio provides a brokerage intelligence platform for real estate brokerages and their agents, including the following modules:
Predio reserves the right to modify, add, or discontinue any feature of the Services at any time with reasonable notice.
To access the Services, you must create an account and provide accurate, current, and complete information. You agree to update your information to keep it accurate.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at demo@getpredio.com of any unauthorized use of your account.
You must be at least 18 years old and hold any applicable real estate licenses required in your jurisdiction to use the Services for real estate brokerage operations. Predio is not responsible for verifying licensure status.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
Predio reserves the right to suspend or terminate access to any user who violates these acceptable use requirements.
The Predio platform includes features that enable automated SMS and electronic communications to real estate leads and contacts. By enabling these features, you represent and warrant that:
You are solely responsible for ensuring that all communications sent through the platform comply with applicable law. Predio is a technology provider and is not responsible for your compliance with communications laws. You agree to indemnify Predio for any claims arising from your failure to comply.
By creating an account, you consent to receive electronic communications from Predio, including service announcements, account updates, and marketing communications. You may opt out of marketing communications at any time.
The Services, including all technology, software, machine learning models, algorithms, user interfaces, design, text, graphics, and content, are owned by Predio and protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.
Subject to your compliance with these Terms and payment of applicable fees, Predio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business operations during your subscription term.
You retain ownership of all data, content, and information you submit to the platform ("Your Content"). You grant Predio a limited license to use Your Content solely to provide and improve the Services. Predio does not sell Your Content to third parties.
If you provide feedback or suggestions about the Services, you grant Predio a royalty-free, perpetual, irrevocable license to use such feedback to improve the platform without any obligation to you.
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, and protect your information.
You represent and warrant that you have all rights necessary to submit Your Content to the Services and that doing so does not violate any third-party rights or applicable law.
Access to the Services requires a paid subscription. Fees are based on your subscription tier and are set forth in your applicable Order Form or subscription agreement. All fees are in U.S. dollars.
Fees are billed monthly or annually as agreed. You authorize Predio to charge your payment method on file on a recurring basis. You are responsible for keeping your payment information current.
All fees are non-refundable except as required by applicable law or as expressly stated in your subscription agreement. Cancellation stops future charges but does not entitle you to a refund for the current billing period.
Predio may change pricing with 30 days' written notice. Continued use of the Services after the price change takes effect constitutes acceptance of the new pricing.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
PREDIO DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE. THE ML MODEL OUTPUTS, LEAD SCORES, REVENUE FORECASTS, AND OTHER PREDICTIVE FEATURES ARE PROBABILISTIC ESTIMATES ONLY AND DO NOT CONSTITUTE GUARANTEES OF BUSINESS OUTCOMES.
PREDIO IS A TECHNOLOGY PLATFORM PROVIDER AND DOES NOT PROVIDE REAL ESTATE, LEGAL, FINANCIAL, OR INVESTMENT ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PREDIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL.
PREDIO'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE FEES YOU PAID TO PREDIO IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF PREDIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless Predio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
Predio may suspend or terminate your access to the Services immediately, without prior notice, if you breach these Terms, fail to pay applicable fees, or engage in conduct that Predio reasonably determines to be harmful to the Services or other users.
You may terminate your account at any time by providing written notice to Predio. Upon termination, your right to access the Services ceases immediately. All provisions that by their nature should survive termination will survive, including intellectual property, disclaimer, limitation of liability, and indemnification provisions.
These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Services will be resolved in the state or federal courts located in Hamilton County, Indiana, and you consent to personal jurisdiction in such courts.
Before filing any claim, you agree to first contact Predio at demo@getpredio.com and attempt to resolve the dispute informally for at least 30 days.
Predio may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date above, and, where appropriate, by email. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
